  • Custom integrations with third-party business systems

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with reasonable notice to active subscribers.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing accurate, complete, and current information. You agree to update your account information promptly when it changes. Providing false or misleading information may result in immediate account termination.

3.2 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access or security breaches

3.3 WhatsApp Business Account Requirements

You must have a valid WhatsApp Business account and comply with WhatsApp's Business Policy and Terms of Service. You are responsible for obtaining and maintaining all necessary approvals from WhatsApp for your business use case.

4. Subscription Plans and Billing

4.1 Subscription Plans

4.2 Payment Terms

  • All fees are due and payable in advance according to your selected billing cycle
  • Payments are processed automatically if auto-renewal is enabled
  • All prices are in USD unless otherwise specified
  • You authorize us to charge your payment method for all applicable fees
  • Failed payments may result in service suspension or termination

4.3 Price Changes

We may modify subscription fees at any time. Price changes will take effect at the start of your next billing cycle. We will provide at least 30 days' written notice of any price increases. Continued use of our Services after price changes constitutes acceptance of the new pricing.

4.4 Refund Policy

Subscription fees are generally non-refundable. We may consider refund requests on a case-by-case basis for service outages, billing errors, or extraordinary circumstances. WhatsApp API usage fees and third-party service charges are non-refundable.

Any feedback, suggestions, or ideas you provide about our Services become our property and may be used to improve our Services without compensation to you.

7.3 Third-Party Rights

Our Services may include third-party components or integrations. You agree to comply with all applicable third-party terms and conditions, including WhatsApp's Terms of Service and Business Policy.

8. Service Availability and Support

8.1 Service Level

We strive to maintain high service availability but do not guarantee uninterrupted service. Scheduled maintenance and updates may cause temporary service interruptions.

8.2 Support Services

Support is provided according to your subscription plan. We offer various support channels including email, documentation, and premium phone support for higher-tier plans.

8.3 Third-Party Dependencies

Our Services depend on third-party services including WhatsApp Business API. Service disruptions caused by third-party providers are beyond our control, and we are not liable for such interruptions.

9. Termination

9.1 Termination by You

You may terminate your account at any time through your account dashboard or by contacting support. Termination will be effective at the end of your current billing period unless you request immediate termination.

9.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay subscription fees when due
  • Engage in activities that harm our Services or other users
  • Violate WhatsApp's policies, resulting in API access revocation

9.3 Effect of Termination

Upon termination, your access to the Services will cease immediately. We will retain your data for 30 days to allow for data export, after which it will be deleted according to our Privacy Policy. Unpaid fees remain due after termination.

10. Disclaimers and Limitation of Liability

10.1 Service Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and course of performance. We do not warrant that the Services will be error-free, secure, or continuously available.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHATVERCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or customer information
  • Business interruption or system downtime
  • Third-party claims or actions
  • Any other commercial damages or losses

Our total liability for any claims shall not exceed the amount paid by you for the Services in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Chatverce, its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses arising from: (a) your use of the Services, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any third-party rights.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

12.2 Dispute Resolution
